BY-LAWS

  • PURPOSE
    The purpose of the Spirituality Centers is to offer classes and spiritual counseling in order to teach the public how to use their inherent skills and talents to create the life they want.

  • MEMBERS
    There shall be no members.

 

  • BOARD OF DIRECTORS
    Size of board - not less than three (3) but not more than five (5).

  •  Who is eligible to be a member of the board?

Those with proven experience approved by the board.

 

  • How long do board members serve?
    Three (3) year terms. Consecutive terms are permitted with the board’s approval.

 

  • How are board members who resign during their term replaced?
    Board members who resign during their term are replaced by internal nominations. If a suitable replacement can not be found immediately, the position can remain vacant.

 

  • Can board members be removed before their terms are over? If so, how? Under what conditions?
    Board members can be removed before their term is over.  They can be removed through a unanimous decision by the board or for major conflicts of interest or illegal activities.

 

  • Will board members be compensated for their time, services, transportation, or other expenses?

            Providing funds allow, board members will be compensated for transportation and out of pocket expenses.

 

  • How are the meetings of the board of directors structured
  • What is the minimum number of times the board must meet during a one-year period?
    Board members must meet a minimum of one (1) time per year.
  • Who may call a special meeting of the board?
    Any board member can call a special meeting of the board.
  • What are the notification requirements regarding meetings?
    Notifications for meetings can be through announcements via oral statement, email, writing, or a phone call.


  •  What is the quorum for a board meeting?
    A quorum for a board meeting is two-thirds (2/3) majority unless the president vetoes it. The president has veto power.
  • . Is a single majority (the votes of half the board members present plus one) sufficient to pass a motion at a meeting of the board?
    No

 

  • Will “actions in writing” be authorized?
    No

 

  • What rules or procedures will be used to conduct meetings?

      Robert’s Rules of Order will be utilized where structure is required.

 

  • What shall be the duties of the officers?

The duties of the officers shall include, but not limited to, the following:
President- oversees the organization and is the CEO

Vice President - assistant to the president. Assists with the fundraising and marketing committees.  Fills in for the president where and when needed.
Treasurer - keeps track of all funds and accounting.  Reports to the president.
Secretary - keeps the minutes of meetings and history of events and activities.  Assists the president as needed.


  • What officers will the corporation have?
    The corporation will have a president, treasurer, and secretary . As SCI grows, a vice president and committee heads will be added.

 

  • How can officers be removed from their positions?
    Officers can be removed by direct order of the president, board decisions, or resignation.

 

  • How can officers be replaced if they resign or are removed before the end of their terms?
    New officers are either voted in through internal nominations by the board or hired.

 

  • What are the specific powers and duties of each officer?
    President - oversees the organization and has veto power.

Fundraising Chair -  responsible for events and plans, and the generation and implementation of funding activities.

The president, treasurer, and secretary are to be the members of the board.

 

  • What will be the structure of the committees?

There will be a head of a committee, which may or may not be a paid position.  The rest of the committee is to be made up of volunteers.

 

  • What special rules will apply to the corporation?

  • Will the corporation indemnify its board members?
    Yes, the corporation will indemnify its board members unless they are the cause of the issue.

  • What is the fiscal year of the corporation?

            January 1 through December 31.

 

  • What are the provisions for amendments of the bylaws?

The amendments can be changed at any time by a two-thirds
